Regulatory Disclosures and Insider Positions


Reports to Regulatory Authorities

In accordance with Canadian and U.S. securities laws, the Caisse periodically discloses the number of shares it owns in certain companies, called issuers.

In Canada, the Caisse files a report when it holds an insider position, i.e. when it has acquired 10% or more of an issuer’s voting stock.

In the United States, the two following provisions of the Securities and Exchange Act require that a report be filed with the Securities and Exchange Commission (SEC).

  • When an issuer owns shares or other securities of issuers appearing
    on List 13F;
  • When 5% or more of an issuer’s securities are held.
